1. Acceptance of Terms
By accessing or using the AdPrax platform, including our website, iOS application, and related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.
If you are using the Platform on behalf of an educational institution, you represent that you have authority to bind that institution to these Terms.
2. Description of Service
AdPrax is an AI-native marketing simulation platform designed for collegiate-level marketing courses. The Platform provides:
- Marketing simulation scenarios with multiple rounds
- AI-powered Socratic feedback and tutoring
- Boss Check-In oral exams conducted by AI (with written alternative)
- Instructor course management and analytics tools
- LMS integration for grade passback and roster synchronization
3. Accounts and Registration
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- One person per account. Sharing accounts is not permitted
- You must be at least 13 years old to use the Platform (see our Privacy Policy for details)
4. Acceptable Use
You agree to use the Platform only for legitimate academic purposes. You may not:
- Academic dishonesty: Use external AI tools (ChatGPT, etc.) to generate simulation decisions or Boss Check-In responses. The Platform's built-in AI features are designed to support learning; circumventing them defeats the educational purpose
- Impersonation: Access another student's account or submit decisions on their behalf
- Harassment: Use any Platform feature to harass, threaten, or discriminate against others
- Interference: Attempt to disrupt, overload, or interfere with the Platform's operation
- Reverse engineering: Attempt to decompile, disassemble, or reverse engineer any part of the Platform
- Data scraping: Use automated tools to extract data from the Platform
- Manipulation: Attempt to manipulate simulation results, scores, or AI feedback through prompt injection or other techniques
Violations may result in account suspension, course removal, and notification of your course instructor and institution.
5. AI Interactions
The Platform uses artificial intelligence extensively. You acknowledge that:
- AI-generated feedback, tutoring, and assessments may contain errors or inaccuracies
- AI features are educational tools and do not substitute for human instruction or professional marketing advice
- Boss Check-In assessments are AI-generated and subject to instructor review and override
- AI interactions (including transcripts and feedback) may be reviewed by your course instructor
- We continuously improve our AI systems; behavior may change between sessions
6. Intellectual Property
Your Content
- Simulation decisions, strategies, and written responses you submit remain your intellectual property
- You grant AdPrax a limited license to process, display, and store your content as necessary to operate the Platform
- We may use anonymized, aggregated data derived from simulation usage to improve the Platform
Our Content
- The Platform, including simulation scenarios, market models, AI prompts, scoring algorithms, and user interface designs, is owned by AdPrax
- You may not copy, modify, or distribute any part of the Platform without our written permission
7. Instructor Responsibilities
Instructors who create courses on the Platform agree to:
- Use the Platform for legitimate educational purposes within their institution
- Protect the confidentiality of student data accessible through the instructor dashboard
- Comply with their institution's policies regarding student data and educational technology
- Review and, where appropriate, moderate AI-generated assessments before finalizing grades
- Provide students with the written alternative option for Boss Check-In if required by institutional accessibility policies
8. Fees and Payment
- The Platform is offered on a per-student, per-semester pricing model
- Current pricing is available on our Pricing page
- Pilot program participants may use the Platform at no cost during the pilot period
- We reserve the right to change pricing with 60 days' notice before the start of a new semester
9. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted service
- Planned maintenance will be communicated in advance when possible
- We are not liable for disruptions caused by factors outside our control (internet outages, third-party service failures, etc.)
- We reserve the right to modify, suspend, or discontinue features with reasonable notice
10. Limitation of Liability
To the maximum extent permitted by law, AdPrax and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. This includes, without limitation:
- Errors or inaccuracies in AI-generated feedback, grades, or assessments
- Loss of data due to technical failures or service interruptions
- Academic consequences resulting from use of or reliance on the Platform
- Unauthorized access to your account due to your failure to maintain credential security
Our total liability for any claim arising from these Terms or your use of the Platform is limited to the amount you paid for the Platform in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless AdPrax from any claims, damages, or expenses arising from your violation of these Terms, your use of the Platform, or your violation of any rights of another party.
12. Termination
- You may delete your account at any time through the Platform settings
- We may suspend or terminate your account for violation of these Terms
- Upon termination, your right to use the Platform ceases immediately
- Data retention after termination is governed by our Privacy Policy
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Platform and updating the “Last updated” date above. Continued use of the Platform after changes constitutes acceptance. If you disagree with the revised Terms, you must stop using the Platform.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of the State of Delaware.
